Terms of Service

These Terms describe your rights and responsibilities when using VaultEX, and the powers we reserve to protect the platform, our users and the integrity of the Services. Please read them carefully. If you do not agree, you must not use the Services.

1. Acceptance of these Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you and VaultEX Digital Assets Ltd (“VaultEX”, “we”, “us”, “our”), governing your access to and use of the services provided through the official website at https://vaultex.ee and associated APIs, mobile applications and software (together, the “Services”).

By creating an account, accessing the Services, or using any feature offered by VaultEX you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy, our Risk Disclosure, our AML / KYC Policy, and any product-specific terms we publish. If you do not agree, you must not use the Services.

2. Official domain and impersonation

The only official website for VaultEX is https://vaultex.ee. We do not operate clones, mirror sites, native apps outside our signed releases, Telegram/WhatsApp bots, or customer-support accounts on any social-media platform.

VaultEX accepts no liability for losses or damages you suffer through: (a) fraudulent websites, apps or browser extensions that impersonate VaultEX; (b) accounts on social media, messaging apps or forums that claim to represent VaultEX; (c) any third party claiming to be “VaultEX support”, “an account manager”, or offering “account recovery” services. Report impersonation via /complaint.

3. Eligibility

By using the Services you represent and warrant that you:

  • are at least 18 years old (or the age of majority in your jurisdiction);
  • have full legal capacity to enter binding contracts;
  • are not a citizen of, resident of, located in, or incorporated in a Restricted Jurisdiction;
  • are not a Specially Designated National or otherwise subject to UN, UAE, OFAC, EU, UK HMT or other applicable sanctions;
  • will comply with all laws and regulations applicable to you in using the Services.

4. Account registration and verification

You must provide accurate, current and complete information when you register, and keep your account information up to date. VaultEX may require identity verification (“KYC”) before you trade, deposit or withdraw, and may require enhanced verification (“EDD”) at any time — including source-of-funds documents, proof of employment or business activity, and live verification sessions.

Until verification is complete to our satisfaction, we may limit or suspend your ability to use any or all of the Services. Accounts that fail or refuse verification may be closed and funds returned (where legally permissible) to their original source.

5. Account security

You are responsible for:

  • keeping your password, 2FA secrets, recovery codes and API keys confidential;
  • using a unique, strong password and enabling two-factor authentication;
  • all activity conducted through your account (including API keys);
  • notifying us immediately via security@vaultex.ee if you suspect unauthorised access.

VaultEX will never ask for your password, 2FA code, recovery phrase, or the private keys of any external wallet. Anyone doing so is impersonating us.

6. VaultEX services

VaultEX may offer, and withdraw, any of the following at its sole discretion: spot trading; custody; internal transfers; fiat on-/off-ramps; peer-to-peer marketplace; conversion and earn products; staking; derivatives; card products; APIs.

Availability of specific products depends on your jurisdiction, verification tier, risk profile, and compliance status. VaultEX may add, remove or restrict any product or market at any time, with or without notice where legally permitted.

7. Orders, execution and fees

Orders placed through the Services are routed to the VaultEX matching engine on a best-effort basis. We do not guarantee execution at any specific price or within any specific time. Prices quoted for conversion and structured products are valid only for the period shown on screen.

Trading, deposit, withdrawal and conversion fees are published on the Fees page and may change with 30 days' notice (or less where required by law or for urgent safety reasons).

8. Taxes

You are solely responsible for determining, reporting and paying all taxes arising from your use of the Services. VaultEX does not provide tax advice and does not act as your tax agent.

9. Prohibited activity

You must not, and must not attempt to, do any of the following in connection with the Services:

  • engage in market manipulation, including wash trading, spoofing, layering, quote stuffing, pump-and-dump, collusion, or the use of coordinated accounts;
  • launder the proceeds of crime, finance terrorism, evade sanctions, or fund any unlawful activity;
  • submit false, misleading, or falsified identity documents or information;
  • operate more than one personal account without written consent, or act as an unauthorised intermediary for another person;
  • bypass or attempt to bypass VaultEX access controls, rate limits, geo-restrictions, IP restrictions, or security measures;
  • use bots, scripts, scrapers or APIs in ways that violate our API terms, or probe / scan / reverse-engineer our infrastructure;
  • use the Services to defraud any person, including phishing, impersonating VaultEX or its staff, or falsely claiming support affiliation;
  • upload or transmit malware, ransomware, viruses or harmful code;
  • abuse, harass, or threaten VaultEX staff or other users.

10. Our rights to suspend, restrict, freeze and close accounts

VaultEX reserves the right, in its sole and absolute discretion and without prior notice, to suspend, restrict, freeze or close any account, and to cancel, reverse or reject any transaction or order, where we reasonably believe (or a regulator, court or law-enforcement body asserts) that any of the following is or may be the case:

  • breach of these Terms or any product-specific terms;
  • a violation of applicable law, regulation, sanctions, or a court or regulator order;
  • suspicious, fraudulent, abusive, deceptive or unusual activity, including but not limited to activity inconsistent with the stated source of funds, activity pattern or customer profile;
  • activity that places the platform, its users, counterparties, or our operational resilience at risk;
  • pending or ongoing investigation by us, a regulator, or a law-enforcement agency;
  • receipt of a legal request under our Law Enforcement channel or via a competent court;
  • failure to respond to requests for information or documentation within a reasonable time;
  • any other reason we, acting reasonably, consider necessary to protect the integrity of the Services, our users, or VaultEX.

Where an account is under review, funds may be frozen indefinitely pending the outcome of the review, for the period required by law or regulator instruction, or until any court order is lifted. We will release funds only to the extent legally permitted, and may be required to remit them to law enforcement, a victim of fraud, or a government authority.

We may recover (claw back) funds obtained through fraud, theft, system error, or in breach of these Terms, and re-credit them to rightful owners where identified. We may offset amounts you owe us (including fees, penalties, or the cost of fraud recovery) against your VaultEX balances.

11. Cooperation with regulators and law enforcement

VaultEX cooperates with regulators, courts and law-enforcement agencies. We may disclose account information, transaction data, KYC records, device and IP logs, and any other data we hold, without prior notice to you, where permitted or required by law.

Where so required by law (including anti-tipping-off provisions of AML regulations), we will not notify you that such a disclosure has taken place.

12. Limitation of liability

To the maximum extent permitted by law, VaultEX, its officers, directors, employees and agents are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages (including lost profits, lost revenue, lost data, or business interruption) arising out of or in connection with your use of the Services, even if VaultEX has been advised of the possibility of such damages.

Without limitation, VaultEX accepts no liability for:

  • losses arising from fraudulent third-party sites, apps, browser extensions, or impersonator social-media accounts;
  • losses arising from your failure to keep your credentials, recovery codes, 2FA device or seed phrase secure;
  • losses arising from your own mistakes (wrong address, wrong network, wrong memo/tag, wrong amount);
  • losses arising from blockchain-level events including forks, reorgs, chain reorganisations, congestion, or third-party wallet failures;
  • losses arising from market movements, slippage, volatility, counter-party default, or the failure of any third-party service provider;
  • delays or suspensions arising from maintenance, unforeseen technical failures, or force-majeure events.

Our aggregate liability for any claim arising under or in connection with these Terms is capped at the greater of: (a) the fees paid by you to VaultEX in the 90 days preceding the claim; or (b) USD 100.

13. Indemnity

You agree to indemnify and hold harmless VaultEX, its officers, directors, employees and agents from any loss, liability, damage or expense (including reasonable legal fees) arising from (a) your use of the Services, (b) your breach of these Terms or applicable law, (c) your violation of the rights of any third party, and (d) any claim that your submitted content or activity caused damage to a third party.

14. Force majeure

VaultEX is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, civil unrest, terrorism, cyber-attacks, governmental action, changes in law, outages of upstream infrastructure (cloud providers, internet backbones, banking partners, blockchain networks), or labour disputes.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to you in-product and by email at least 15 days before they take effect; non-material changes may be made at any time. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. Where required by applicable law, we will seek your explicit consent.

16. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. VaultEX may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets, or by operation of law.

17. Severability and waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. A waiver of any term, or our failure to enforce any right, is not a continuing waiver of that term or right.

18. Dispute resolution and governing law

These Terms are governed by the laws of the jurisdiction in which your VaultEX entity is organised (default: the Dubai International Financial Centre, UAE), without regard to conflict-of-laws principles.

Any dispute, controversy or claim arising out of or relating to these Terms or the Services will first be addressed in good faith between the parties for 30 days. Failing resolution, the dispute shall be referred to and finally resolved by binding arbitration administered by the DIFC-LCIA Arbitration Centre (or its successor) in Dubai, in English, under its rules then in effect. To the extent permitted by law, you waive any right to participate in a class or collective proceeding.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect confidential information, intellectual property, or to comply with a regulatory obligation.

19. Entire agreement

These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and VaultEX and supersede all prior or contemporaneous communications and proposals relating to the Services.
